The Current Status of the Treaty of Amity Between the USA and Thailand

Much confusion surrounds the US-Thai Treaty of Amity and Economic Relations, or simply the Treaty of Amity as most expats refer to it in Thailand. The confusion surrounding the treaty stems from its precarious status with regard to the WTO treaty signed by Thailand nearly fifteen years ago and the, currently mothballed, Free Trade Agreement between the United States and Thailand. Many people wonder if the Treaty is still in force and if it is, then how much protection does it really offer?

A QUICK EXPLANATION OF THE TREATY AND ITS HISTORY

The Treaty of Amity was signed in 1966 and replaced an older treaty and was basically an updated version. There were several important rights conferred in the treaty, not the least of these was the right of Americans to own all the shares of stock in a Thai Limited Company and for that company to receive "National Treatment." What this means is that in the eyes of the law the Treaty of Amity Company with an American majority owner is treated the same as if the majority owner were Thai. Therefore, a company registered under the Treaty of Amity is not treated as a "foreign" company, but a Thai company.

For many American expats in Thailand, the treaty has been a godsend over the years because it has allowed them to own their businesses outright and not need to deal with the vagaries of the Foreign Business Act (the most recent incarnation is the Foreign Business Act of 1999). The Foreign Business Act states that all, or virtually all, foreign owned companies need to obtain a foreign business license in order to operate. Obtaining a foreign business license is no easy feat depending upon which type of business classification the company in question falls into.

To make a long story short: The Treaty of Amity allowed Americans to own the majority of a Thai business without needing to get a Foreign Business License. There are still a few areas not covered by the Treaty of Amity, most notable is the fact that even an Amity Treaty Company cannot own land.

THE TREATY OF AMITY IS GREAT: WHERE'S THE CONFUSION?

The confusion regarding the Treaty of Amity deals with the WTO (World Trade Organization) and the treaty Thailand signed with them nearly 15 years ago. Under the WTO rules, no nation can give any one nation preferential rights over any other. This means that Thailand is in violation of its WTO obligations by allowing ONLY Americans the right to own a company outright with national treatment. If Thailand extended the privilege to citizens of the other member nations of the WTO, then the problem would end there because Thailand would be in compliance with the WTO. Since Thailand does not seem likely to do this they are in violation of the WTO because unequal privileges are extended to the US. Thailand was given an exemption period in 1995 to get their laws in order. This exemption lasted for ten years and expired in 2005. Since then, Thailand has technically been in violation of the WTO. However, the Treaty of Amity is still in effect. How can this be?

According to Article 14 of the US Thai Treaty of Amity and Economic Relations:

3 The present Treaty shall remain in force for ten years and shall continue in force thereafter until terminated as provided herein.

4 Either Party may, by giving one year's written notice to the other Party, terminate the present Treaty at the end of the initial ten-year period or at any time thereafter.

Seems simple, the treaty doesn't end until one of the parties says its going to end and even then, those concerned shall have a year to comply with the new rules, whatever they may be.

This doesn't really answer the question as to where this fits in with the WTO. It seems that by signing the WTO Thailand did not abrogate any existing treaties, hence the need for the exemption period for Thailand to get its valid laws in compliance with the new system. Therefore, the laws on the books at that time and still in effect (such as the Treaty of Amity) are not affected by the WTO until the government of Thailand amends its laws accordingly. This is just one man's opinion, but it seems to be corroborated by the fact that I helped a client process an Amity Treaty protection request for his company less than one month ago. The request was granted by the Thai Foreign Business Office and the Treaty of Amity Certificate duly conferred upon his company.

The WTO has yet to bring up this issue with Thailand, at least publicly. I have heard that part of the reason for this silence is the fact that the WTO is waiting for a more stable government to be elected before they broach the subject, but this is mere conjecture.

WHAT HAPPENS TO THE TREATY OF AMITY WHEN THE WTO CALLS FOR THAILAND TO COME INTO COMPLIANCE?

ALL HELL BREAKS LOOSE!!!! JUST KIDDING!

I think that when the WTO calls for Thai compliance with its treaty then Thailand will do one of three things: "grandfather" everyone in already registered under the Treaty of Amity, completely throw out the Treaty of Amity and tell everyone to get into compliance within a year, or sign a new free trade agreement with the US that calls for a combination of these two options. The idea that Thailand will just throw out the Treaty of Amity and tell everyone protected by it to just deal with it seems unlikely, although this is Thailand and anything can happen. According to the White House website: "The AER [Treaty of Amity] covers over 1,000 U.S. businesses in Thailand. Total U.S. investment in Thailand is about $20 billion." http://www.whitehouse.gov/news/releases/2003/10/20031020-27.html

It seems unlikely that Thailand will throw away that kind of money and goodwill capriciously.

Also according to the US State Department at www.state.gov/e/eeb/ifd/2006/62040.htm, "Both the U.S. and Thailand anticipate that the rights granted investors under the AER will be replicated in the bilateral FTA currently under negotiation."

Although the negotiations for the US-Thai FTA have been postponed, until who knows when, it seems unlikely that the Thai-US Treaty of Amity will be thrown out before a new agreement is adopted in its place. The current Thai-Australian Free Trade Agreement allows Australian Nationals the right to own up to 60% percent of certain companies. Although the list of companies in which this type of ownership is allowed is less extensive than under the US Thai Treaty of Amity, it still leave us with some idea of the worst case scenario for a possible US-Thai FTA.

WILL COMPANIES CURRENTLY PROTECTED BY THE TREATY OF AMITY BE "GRANDFATHERED" IN?

The Treaty of Amity itself says nothing about this scenario, only calling for the one year exemption period. It seems likely that Amity Treaty Companies will be "grandfathered" in. Previous foreign business acts have a "grandfather" clause allowing those engaging in what would become restricted businesses to continue to engage in such business. It seems logical that this kind of scheme would be used to phase out the Treaty if such an option was desired by the Thai government. Again, this is Thailand and nothing is a certainty, but looking at the past and the laws and politics at play it seems unlikely that the Treaty of Amity will be completely abrogated to the total detriment of those protected by it. The worst case scenario under the Treaty of Amity: You get to own your business outright for a year. Since the Treaty has yet to expire: if you had a company registered the day before the treaty was terminated, then you would still have a year to come into compliance.

There is no viable argument that green energy has a greater impact on the environment than fossil fuels.  Because of this fact, the fossil fuel advocates instead argue that the impact that is put forth in reports is exaggerated, and is not enough of a crisis to justify the higher cost of production.  By arguing that global warming and climate change is not a reality, the fossil fuel industry removes itself from responsibility for changes to the atmosphere.  While this may or may not be the case, there is nobody on earth who denies that there is no pollution whatsoever that is created by burning fossil fuels.  Instead, the argument is that it is a small enough amount of pollution to not justify paying more for power production of other sources.  All attempted arguments that green energy technologies impact the environment in the same way are ludicrous, and are easily dismissed.

The entirety of the debate is actually hinged on production costs, because if the two sources cost the same amount to produce then there would be no reason to choose the one that has obvious impacts on the environment, no matter how small.  This is where technological advances in both the alternative energy fields as well as in other areas have doomed the fossil fuel industry, due to the fact that production costs associated with green energy will soon be lower than fossil fuels.

Boundaries Why Do Some People Build Walls Around Themselves

For some people, the term walls may bring up associations to do with the physical walls of a house or walls that divide one garden from another. However, the walls that this article will look into are not physical walls. They are not visible to the eye and yet this doesnt mean that the impact they have is any different.

If on one side there are walls, on the other side there would be nothing; here one would feel wide open and completely vulnerable. Boundaries are not the opposite of walls. When one has strong boundaries there will not be the need to have walls and feeling wide open, as one would if they had no boundaries, would rarely be experienced.

Two Experiences

So although the person with no boundaries will have walls, it is also likely that there will be moments when they feel wide open. Alternating between the two will then be a part of life.

The walls give them the feeling of complete protection and without them they can feel extremely vulnerable.

Walls

What walls do is create the feeling of being protected and through having these, one will feel safe. The problem with having walls is that not only do they keep everyone out; they also keep one locked in. One ends up creating their own prison.

So whatever the positives are, they are soon outweighed by the negatives. Logically it is clear and makes sense that walls are no good. But, as it is primarily our emotions and not logic that dictates ones life, logic does not make much of a difference here.

Consequences

And if one cuts themselves off from others through having walls, it is going to lead to all kinds of consequences. Relationships will suffer and as this happens one will also suffer. Isolation and feelings of being alone and cut off are also likely to occur. Trust in others will not exist and without that relationships are not really possible.

Because even though one is trying to protect themselves from others by having walls, all that ends up happening is the creation of more pain.

Whats Going On?

The natural human need, to connect and to be with others, is being violated here. So this can only really lead to pain and suffering. But in order for this to be the case something needs to have happened that is causing one to go against their own natural need, to connect and be with other human beings.

And in order to understand why this may be, we need to look at how the ego mind works and how past experiences can shape how one sees the world.

The Ego Mind

How the ego mind works can seem illogical at first. As this is because it doesnt function on what makes one happy or what is functional. It works through what is familiar and what is familiar is what is associated as being safe. Once something is interpreted to be safe though being familiar; the ego mind will hold onto it and wont want to let it go.

Now, this could be a way of seeing life and other people or a way that one behaves. And what is classed as familiar can be functional and healthy or it can be dysfunctional and unhealthy. When it is dysfunctional, like in the case of building walls, it will inevitably create problems.

A Reason

So if one has built walls around themselves, it is for a reason. And the reason is that it was for their own survival. At the time of their creation, they allowed one to stay safe and to cope with a situation or situations.

At the time it could be described as positive and even a necessary thing. The trouble is that over time, it has just lead to pain and separation from other people.

Patterns

Once this way of being has become associated as what is safe to the ego mind; life will continue to be perceived in the same way. What this means is that once one has had an experience or certain experiences that lead to these walls being created, it will become the model of how life is.

One will then end up creating the same experiences all over again and the same patterns will be played out. So what may have happened with one person or a few people during one moment or over a certain period of time, will become how life is and how everyone is.

Absolutes

And as the ego mind works in absolutes, it will edit out anyone that does not fit the associations that it has formed around people. The experiences that created this outlook have become what reality is and there is now no other way according to the mind.

People that are respectful of ones boundaries and aware of such things are unlikely to be attracted into ones life. Unless they are a doctor for example and people who one was to have an appointment to see.

Causes

The cause of these walls could have been through what happened to one as an adult. Or it could have been the result of ones childhood years. And as these traumatic experiences have not been looked at, one has ended up being controlled by them.

Boundary Violation

Whether it was as an adult or as a child, it has lead to a boundary violation. Ones personal space was not respected and this means that one felt wide open and vulnerable. This would have lead to the ego mind creating associations and emotions/feelings being trapped in the body.

Awareness

And until these are dealt with in some way, it will be highly unlikely that one will allow their walls to come down. Unless one can feel safe to be who they are and to be in their body; nothing can really change.

Now, for some it may be enough to just change the ego mind associations and this is what hypnotherapy or CBT would do, but for others going into the feelings may be needed. And this would require some kind of therapy that does feeling work.

The important thing is that one listens to themselves and sees what works and what doesnt. As to how long it will take, will depend on many factors: from how ready one is to let go and on the type of therapy that is used.

So far in this series, we have taught on the importance of learning how to build wealth, but just as important, you need to spend some time learning how to protect that wealth through asset protection and tax savings. Because the two biggest threats to your assets are lawsuits and taxes.

Im not going to gloss over and tell you there are no risks in owning real estate or operating your own business, especially in todays litigious society, because a new lawsuit is filed on average about every two seconds of every day of the year. But you can be in so much fear about the what ifs that its easy to think of all the excuses why you shouldnt get into any meaningful wealth-building rather than focusing on the positive reasons why you should.

However, the Scriptures say in II Timothy 1:7, God has not given us a spirit of fear, but of power and of love and of a sound mind.

Yes, there are risks in owning real estate or your own business, but if you set up appropriate entities and structures such as corporations, limited liability companies (LLCs), land trusts, etc., instead of you owning your assets in your personal name, you establish a shield between you and your liabilities. So while you dont have spirit of fear on you, you should indeed use wisdom in protecting yourself, and thats what this teaching is about.

Take advantage of the legal systems that have been put in place by the laws of the land. God himself even gave measures of protection to the Israelites through the six cities of refuge mentioned in at least five chapters in the Old Testament

Without getting into a deep study of Scripture, these cities of refuge were basically used as a means of escape and protection by someone who had killed someone else unintentionally or ignorantly. Under these circumstances, it was considered an honest mistake and provisions were made for their protection.

Its okay to take advantage of the law and take precautions even in cases of our negligence, as long as there is no malice in your heart. The Bible is extremely clear on the distinction between causing something to happen unintentionally and carrying out a malicious act with premeditated evil intent.

If you dont protect yourself and your family, you are not being wise, and you know what the opposite of wise is, dont you? Remember the wise man built his house on the rock, but the foolish man built his house on the sand, as you read about in Matthew 7:24-27. You should build your businesses and your real estate on a solid foundation that cant be shaken when the winds blow.

Dont put this aspect of the business on the back burner and get to it when you have time. Dont have the mindset that you will wait until you have more assets or income before you begin laying the solid foundation and implementing the strategies you can learn through the resources we have available.

Not everything has to be completed and done perfectly before you start, but at least begin the process, the foundation. You need to plan ahead. Take the necessary steps to protect and preserve your assets now, so that as they grow, you and your familys financial future will be shielded.

Believe for the best and prepare for the worst. Just as a police officer wouldnt go into a situation without a bullet-proof vest, you shouldnt enter business or real estate ventures without appropriate protection. It is wise to take preventative measures. Sure, that police officer could say, God will protect me. Well, God does protect us, but He expects us to use wisdom and the tools He has given to us. Maybe none of us should carry insurance of any kind, if we feel that God will protect us anyway. Yet, most of us do have insurance because we feel it is the wise thing to do. Paying for insurance and taking steps to protect your wealth doesnt mean we dont trust God.

Again, my intention is not to cause you fear, but at the same time I want you to understand the importance of asset protection. If there is a lawsuit related to one of your businesses, all of your personal assets, including your home, your cars, and your bank accounts, could then be tied to the suit and you could lose it all. Likewise, if you are sued personally, that suit could then be tied to your business. The liability shield you need to put up works in both directions.

You cant wait until you are sued to start placing your properties and your businesses in legal entity structures. Thats like the police officer putting on his bullet-proof vest after he has been shot!

I pray that none of you listening to this CD will ever have a lawsuit filed against you, but if you do, youll be glad you have taken the time to get your asset protection strategies in order.
